Educated at Sydney Grammar School and University of Sydney., BA 1907, LLB 1910; articled to his father, admitted as a solicitor in 1911, partner in John H.Clayton and Son from 1911 until 1920, Clayton and Utz from 1920 until 1924, Clayton Utz and Company from 1924 until 1975; Chairman of Directors of Australian Guarantee Corporation Limited from 1942 until 1973; director of Portfolio and Development Company Limited (1965); Councillor of Incorporated Law Institute of New South Wales from 1933 until 1943; trustee of War Widows Guild. Recreational interests include bowls and gardening.

Served in Australian Infantry Forces from 1914 until 1919, 4th Battalion, in field and later as a transport officer in United Kingdom in 1919, Major, mentioned in despatches, Efficiency Decoration; Deputy Assistant Quarter Master General's Movement in New South Wales Group from 1939 until 1942, in command 1st Australian Movement Control Group from 1943 until 1945.
